In the spirit of good practice, when you are purchasing coaching services from me I ask you to confirm that you have read and agreed to each statement below and that you wish to proceed.

All coaching services and communication, email or otherwise, delivered by myself, Geoff Nicholson (GN Coaching), as well as information on this website (Geoff Nicholson (GN Coaching) are meant to help you identify the areas in your life and in your thinking that may be preventing you from experiencing greater well-being and moving forward. Coaching is not a substitute for professional mental health care or medical care. As I see it coaching is meant to be done when major emotional and psychological wounds are already healing or healed.

The term ‘coaching’’support’ as here used covers life coaching, personal coaching, executive coaching and business coaching, burnout coaching, training, mentoring or consulting for clients.

Geoff Nicholson (GN Coaching) is continually striving to ensure the standard of service she provides to its clients remains excellent. At the end of the coaching process, or series of coaching sessions, the client will be asked to complete a feedback form

COACHING / SUPPORT DISCLAIMER

I understand that the coaching/training/support services I will be receiving from my Geoff Nicholson (GN Coaching) are not offered as a substitute for professional mental health care or medical care and are not intended to diagnose, treat or cure any mental health or medical conditions. I also understand that my Coach is not acting as a mental health counsellor or a medical professional.

For legal purposes, I understand that coaching is currently an unregulated industry and that Geoff Nicholson (GN Coaching) is not “licensed “ by any UK body even though the sessions may take place in the UK.

I understand and agree that I am fully responsible for my well-being during my coaching sessions, and subsequently, including my choices and decisions.

I understand that coaching is not a substitute for counselling, psychotherapy, psychoanalysis, mental health care or substance abuse treatment, and I will not use it in place of any form of therapy.

I understand that all comments and ideas offered by my Coach / Geoff Nicholson (GN Coaching) are solely for the purpose of aiding me in achieving the defined goals I create with my Coach / Geoff Nicholson (GN Coaching). I have the ability to give my informed consent, and hereby give such consent to my coach to assist me in achieving such goals and understand that results are not guaranteed.

I understand that to the extent our work together involves career or business, my Coach / Geoff Nicholson (GN Coaching) is not promising outcomes included but not limited to increased clientele, performance of myself or staff, profitability and or business success.

I understand that my Coach / Geoff Nicholson (GN Coaching) will protect my information as confidential unless I state otherwise in writing. If I report child, elder abuse or neglect or threaten to harm myself or someone else, I understand that necessary actions will be taken and my confidentiality agreement limited in this capacity. Furthermore, if my Coach / Geoff Nicholson (GN Coaching) is ordered by a court to provide information or to testify, she will do so to the extent the law requires.

I understand that the use of technology is not always secure and I accept the risks of confidentiality in the use of email, text, phone, Skype, Zoom and other technology.

I hereby release, waive, acquit and forever discharge my Coach / Geoff Nicholson (GN Coaching), any agents, successors, assigns, personal representatives, executors, heirs and employees from every claim, suit action, demand or right to compensation for damages I may claim to have or that I may have arising out of acts or omissions by myself or by my Coach / Geoff Nicholson (GN Coaching) as a result of the advice given by my Coach / Geoff Nicholson (GN Coaching) or otherwise resulting from the coaching/training or support relationship contemplated by this agreement.

I further declare and represent that no promise, inducement or agreement not expressed in this agreement has been made to me to sign this agreement. This agreement shall bind my heirs, executors, personal representatives, successors, assigns, and agents.

DEFINITIONS

Coaching/training/support: covers transformational corporate coaching at all levels, corporate facilitation, personal coaching, success coaching, mindset coaching, performance coaching, podcasting coaching, performance coaching any workshop facilitation for community or private groups, and where applicable includes mentoring, leadership development services ,personal development, burnout coaching, stress management, wellbeing support.

Fees: means the fees as described in agreement / email / proposal

Services: means the services as described agreement / email / proposal

Retainer: This is a monthly subscription based service to obtain an additional ongoing support with the client, this services must be paid every month even if the client is unable to arrange support sessions.

Coachee: means the officers, directors, internal members and internal partners or employees of the Client and any other person who has been previously approved in writing by the Client whom utilises the Services.

TERMS AND CONDITIONS

The coaching schedule will be arranged between Geoff Nicholson (GN Coaching) and the client and can be booked up to 3 months in advance. Geoff Nicholson (GN Coaching) will recommend the frequency of coaching sessions based on a professional assessment of the client’s requirements. This recommendation, or plan, is not binding and may be altered and adjusted throughout the coaching journey by mutual agreement, in accordance with the terms set out in this agreement.

Some of the Program provided by Geoff Nicholson (GN Coaching) are based on a period of time the client will be notified and agree to the program terms and conditions which will be based on them agreeing to participate in said program should they wish to cancel the participation during the program Geoff NIcholson (GN Coaching) a refund will not be provided as the participant has agreed to enroll in the program entirety however for these programs if within a 14 day period of purchase the client notifies Geoff Nicholson in written form they will receive a refund minus administration fee of £75

The number and frequency of coaching session will be agreed at the start of coaching between Geoff Nicholson (GN Coaching) and the client, and confirmed by Geoff Nicholson (GN Coaching) by email or written correspondence. Where no specific number is agreed sessions will be provided on a session by session basis.

In return for the fees payable by the client (or by a third party on their behalf), Geoff Nicholson (GN Coaching) agrees to provide the service as described below and in accordance with the terms and conditions set out below. The client agrees to pay fees for the service on the terms and conditions set out below (in situations where a third party pays the fees, the third party counts as an agent acting on behalf of the client).

The date that the first coaching session takes place shall be deemed to be the start date for the service. Where any client is unhappy with any of the terms and conditions they can contact Geoff Nicholson (GN Coaching) to discuss any concerns and see if they can be resolved before the first coaching session. Participation by any individual in the first coaching session constitutes acceptance of these terms and conditions.

FORMAT OF SESSIONS

Face to face (venue by mutual agreement), via Skype, Zoom (client calls coach); telephone coaching sessions (client calls coach); or other formats where such is agreed. Unless otherwise agreed, for Skype and telephone sessions the client is responsible for telephoning Geoff Nicholson (GN Coaching) at agreed times. Geoff Nicholson (GN Coaching) is responsible for ensuring that she is available for consultation at agreed times.

The length of each session is as agreed between Geoff Nicholson (GN Coaching) and the client before coaching sessions commence.

SESSION FEES

In accordance with Geoff Nicholson (GN Coaching)’s current per session fee or fee for a programme of sessions, or any other such fee as shall be agreed and notified to the client. Geoff Nicholson (GN Coaching) will confirm the fees in writing, usually by email, unless this is impractical. The number of sessions for which payment is required in advance will be agreed before coaching sessions commence.

ADDITIONAL SESSIONS

Geoff Nicholson (GN Coaching) may agree to provide additional coaching sessions after completion of the initial agreed session(s). These terms and conditions will apply to any additional sessions so provided and the Per Session Fee will remain the same as originally agreed except where Geoff Nicholson (GN Coaching) notifies the client in writing by letter or email of a change to the Fee or to any other term or condition in accordance with the section in these terms and conditions headed “Variation of Terms and Conditions”.

DATES AND TIMES OF SESSIONS

The date and time of the first session and any subsequent session will be agreed between Geoff Nicholson (GN Coaching) and the client by phone or email and confirmed by Geoff Nicholson (GN Coaching) by email or letter.

Sessions can only be rearranged in accordance with the section in these terms and conditions headed “Rearranging Sessions”.

PAYMENT TERMS

For corporate Clients Fees are payable within 14 days of the date of invoice (unless services are to be commenced before invoice payment period). Fees can be paid online by debit or credit card using the Paypal payments systems, by standing order, by direct debit, by bank transfer, or by cheque made out to Geoff Nicholson & sent to 237 Darras Road, Ponteland, Newcastle upon Tyne, NE20 9AJ. Where receipts are requested by the client, they will be sent by e-mail unless otherwise requested.

. Where invoices remain unpaid, Geoff Nicholson (GN Coaching) is not obliged to continue providing sessions until such time as payment is received and interest may be charged on late payment of invoices.

For private clients Fees are payable in advance and may be paid online by debit or credit card using the Paypal payments systems, by direct debit, by standing order or by bank transfer. Where payment has not been received by Geoff Nicholson (GN Coaching) in advance of a private coaching session, Geoff Nicholson (GN Coaching) is not obliged to provide the session.

Interest shall be charged at 5% over the Bank of England Base Rate for all late payments

BETWEEN SESSIONS

Geoff Nicholson (GN Coaching) may assign the client tasks or exercises to complete between coaching sessions. There is no obligation on the client to complete these items of ‘homework’, but not doing so may slow the client’s progress in gaining improved quality of life or achieving desired business or personal outcomes.

The client may contact Geoff Nicholson (GN Coaching) by phone or e-mail between sessions to seek clarification regarding anything arising from a coaching session or for administrative purposes (e.g. where a client needs to rearrange a coaching session or make a payment). Additional coaching can also be provided between sessions but there will be an additional charge for this. Geoff Nicholson (GN Coaching) will always advise a client in advance if the nature of a client’s contact is likely to incur an additional charge and no such charges will be imposed without the client’s agreement.

REARRANGING SESSIONS

If a client needs to rearrange a coaching session, they should provide at least 48 hours notice. No refunds will be given to clients for unused coaching sessions unless 48 hours notice has been given. In exceptional circumstances Geoff Nicholson (GN Coaching) may need to rearrange a coaching session. In those instances she will also give the client 48 hours notice where practical.

Where a client pays for a session or sessions in advance they must have the coaching session(s) that they have paid for within 6 months or the agreed program period of the payment or their fee is forfeited.

CONFIDENTIALITY

Personal information or business information supplied by clients in coaching sessions will be treated as confidential. It will not be disclosed to a third party without the client’s prior permission, save where required by law or where action might be necessary to prevent harm to the client or someone else.

EARLY TERMINATION

In exceptional circumstances, such as illness or unavailability due to bereavement or other commitments, inappropriate behaviour by the client, actual or potential conflict of interest, or other reasons, Geoff Nicholson (GN Coaching) can decide to terminate the service to the client early or refuse or be unable to provide further coaching sessions to the client. In such a circumstance the client will be given reasonable notice of termination by Geoff Nicholson (GN Coaching) where practicable and will be refunded any advance payments made for coaching sessions not yet provided. However if you have purchased a program (ie duration of 6 or 12 months) then a refund may not be issued as you have taken a place.

RESPONSIBILITIES

Geoff Nicholson (GN Coaching) will seek to enable the client to improve their quality of life or level of business success and to achieve their desired outcomes. Remarkable results can be achieved where clients follow a clear plan in a committed way. However, the client has sole responsibility for taking important decisions in their life or business. Geoff Nicholson (GN Coaching) has no liability for any loss incurred by any client, whether financial or otherwise, following commencement of coaching sessions, or for any perceived failure by the client, whether justified or otherwise, to achieve a material improvement in quality of life or business or to achieve their desired outcomes or goals.

VARIATION OF TERMS AND CONDITIONS

Where an Initial Number of Sessions is agreed, any changes to these terms and conditions intended to take effect prior to the conclusion of those Initial Number of Sessions will only have effect if agreed by both Geoff Nicholson (GN Coaching) and the client and confirmed by Geoff Nicholson (GN Coaching) in writing by email or letter. In other cases, Geoff Nicholson (GN Coaching) may change any of these terms or conditions including the Per Session Fee by giving the client one week’s notice in writing by letter or e-mail of the change(s). If following receipt of such notification of change, the client no longer wishes to proceed with further coaching sessions, they may withdraw from the service immediately by giving notice in writing by email or letter and they will then be entitled to a full refund of any fees paid in advance for coaching sessions not yet provided. Such notice will be effective on receipt by Geoff Nicholson (GN Coaching).

FORCE MAJEURE

Neither party shall be liable for any default due to any act of God, war, strike, lockout, industrial action, fire, flood, drought, windstorm or other event beyond the reasonable control of either party.

GOVERNING LAW

This contract is governed by the law of England whose courts have exclusive jurisdiction in relation to any dispute, disagreement, proceedings or legal claim of any nature relating to the service provided or the contract.

By accessing and browsing the Site, you accept, without limitation or qualification, the Terms of Use and acknowledge that any other agreements between you and the Site are superseded and of no force or effect.

These Terms of Use may be revised from time to time by updating this posting. You are bound by any such revisions and should therefore periodically visit this page to review the then current Terms of Use to which you are bound.

Subject to your compliance with these Terms of Use, Geoff Nicholson (GN Coaching) hereby grants you a limited license, which is non-exclusive, non-transferable, and non-sublicensable, to access, view, and use the Site solely for your personal purposes. No Company content may be copied, reproduced, republished, uploaded, posted, transmitted, distributed, used for public or commercial purposes, or downloaded in any way unless written permission is expressly granted by Geoff Nicholson (GN Coaching). Modification of the Content or use of the Content for any other purpose is a violation of the copyright and other proprietary rights of Geoff Nicholson (GN Coaching), as well as other authors who created the materials, and may be subject to monetary damages and penalties. Any unauthorised use of Content may violate the copyright, trademark, and other proprietary rights of Geoff Nicholson (GN Coaching) and/or third parties, as well as the laws of privacy and publicity, and other regulations and statutes. Nothing contained in this Agreement or in the Site shall be construed as granting, by implication or otherwise, any license or right to use any Trademark or other proprietary information without the express written consent of Geoff Nicholson (GN Coaching) or third party owner. Geoff Nicholson (GN Coaching) respects the copyright, trademark and all other intellectual property rights of others. Geoff Nicholson (GN Coaching) has the right, but has no obligation, to remove content and accounts containing materials that it deems, in its sole discretion, to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Use.

If you send comments or suggestions about the Site to Geoff Nicholson (GN Coaching), including, but not limited to, notes, text, drawings, images, designs or computer programs, such submissions shall become, and shall remain, the sole property of Geoff Nicholson (GN Coaching). No submission shall be subject to any obligation of confidence on the part of Geoff Nicholson (GN Coaching). Geoff Nicholson (GN Coaching) shall exclusively own all rights to (including intellectual property rights thereto), and shall be entitled to unrestricted use, publication, and dissemination as to all such submissions for any purpose, commercial or otherwise without any acknowledgment or compensation to you.

CONSENT

When you register with Geoff Nicholson (GN Coaching) and/or this Site, you expressly consent to receive any notices, announcements, agreements, disclosures, reports, documents, communications concerning new products or services, or other records or correspondence from Geoff Nicholson (GN Coaching). You consent to receive notices electronically by way of transmitting the notice to you by email.

THIRD PARTIES

Geoff Nicholson (GN Coaching) shall not be responsible for any performance or service problems caused by any third party website or third party service provider (including, for example, your web service provider service, Stripe payment services, your software and/or any updates or upgrades to that software). Any such problem shall be governed solely by the agreement between you and that provider. Geoff Nicholson (GN Coaching) reserves the right to determine, in its sole discretion whether Geoff Nicholson (GN Coaching) is responsible for any such malfunction or disruption. Geoff Nicholson (GN Coaching) also reserves the right to limit your use of the Site and/or Content or to terminate your account should Geoff Nicholson (GN Coaching) determine that you have violated these Terms of Use, or that you have violated any other rules or conditions of Geoff Nicholson (GN Coaching). Geoff Nicholson (GN Coaching) reserves the right to refuse access to the Site and/or Geoff Nicholson (GN Coaching)’s Content, products and/or services to anyone in its sole discretion. Geoff Nicholson (GN Coaching) reserves the right to determine, in its sole discretion, whether Geoff Nicholson (GN Coaching) is responsible for any such malfunction or disruption. Geoff Nicholson (GN Coaching) may, in its sole discretion, refund the initial fee charged for any use of the site and/or any content or a pro-rata portion thereof consistent with Geoff Nicholson (GN Coaching)’s refund policy. Geoff Nicholson (GN Coaching) shall refuse any refund thirty (30) days after your payment for use of the Site and/or any Content, either pursuant to Geoff Nicholson (GN Coaching)’s customer licence agreement or otherwise, regardless of the reason for disruption.

INDEMNIFICATION

You agree to indemnify and hold Geoff Nicholson (GN Coaching) and each of its directors, officers, employees, and agents, harmless from any and all liabilities, claims, damages and expenses, including reasonable attorney’s fees, arising out of or relating to (i) your breach of this Agreement, (ii) any violation by you of law or the rights of any third party, (iii) any materials, information, works and/or other content of whatever nature or media that you post or share on or through the Site, (iv) your use of the Site or any services that Geoff Nicholson (GN Coaching) may provide via the Site, and (v) your conduct in connection with the Site or the services or with other users of the Site or the services. Geoff Nicholson (GN Coaching) reserves the right to assume the exclusive defense of any claim for which we are entitled to indemnification under this Section. In such events, you shall provide Geoff Nicholson (GN Coaching) with such cooperation as is reasonably requested by Geoff Nicholson (GN Coaching).

PODCAST AGREEMENT:

As a guest to one of Geoff Nicholson (GN Coaching) shows are agreeing to join us on our podcast! We are thrilled to have you as a guest. Below is a simple release as we would like to use this podcast to promote our products and as you will be our guest, we want you to understand we will be using this recording to promote the podcast as well as other products associated with our company, Geoff Nicholson (GN Coaching). (Success IQ or other Shows hosted by). You will also of course receive the edited recording so you can use the show featuring you, to publicize and promote your own brand.

1. I agree to be recorded on audio and/or video (Zoom or other app for recording) for this podcast or any other shows that are hosted by Geoff Nicholson under his personal brand.

I hereby irrevocably authorize Geoff Nicholson (GN Coaching) and its affiliates to copyright, publish, reproduce, exhibit, transmit, broadcast, televise, digitize, display, otherwise use, and permit others to use, (a) my name, image, likeness, and voice, and (b) all photographs, recordings, videotapes, audiovisual materials, writings, statements, and quotations of or by myself (collectively, the “Materials”), in any manner, form, or format whatsoever now or hereinafter created, including on the Internet, and for any purpose, including, but not limited to, advertising or promotion of Geoff Nicholson (GN Coaching)., its affiliates, or their services, without further consent from or payment to me.

I also affirm that I am 18 years of age or older, and competent to sign this release on my own behalf. I have read this release and fully understand its implications.

MISCELLANEOUS

The provisions of these Terms of Use are for the benefit of Geoff Nicholson (GN Coaching), its subsidiaries, affiliates and its third party content providers and licensors, and each shall have the right to assert and enforce such provisions directly or on its own behalf.
