PART A: COACHING & CONSULTING SERVICES


Welcome! I'm Geoff, and I'm excited to partner with you. This section outlines how we'll work together to ensure you get the best possible results. My goal is to be transparent and straightforward so we can focus on what really matters: you achieving your goals.


1. Our Partnership

Coaching is a powerful alliance between us. It's a creative and thought-provoking process designed to help you maximise your personal and professional potential. You are always in the driver's seat. You are solely responsible for your decisions, actions, and the resulting consequences. My role is to provide guidance, support, and accountability to help you create and achieve your goals.


2. What Coaching Isn't (Medical Disclaimer)

My coaching is not therapy, and it is not a substitute for professional mental health care. I do not diagnose or treat mental health disorders. If you are facing significant mental health challenges, it is your responsibility to seek the appropriate professional help. If you are currently working with a therapist, I recommend that you inform them of your additional coaching relationship.


3. Expectations & Commitments

Your Role: To get the most out of our work together, I ask that you:

  • Show up to our sessions on time and ready to engage.
  • Communicate openly and honestly.
  • Be open to feedback and new perspectives.
  • Create the time and energy to do the work between our sessions.

My Role: You can always expect me to:

  • Manage our sessions professionally, respecting your time.
  • Maintain strict confidentiality (unless required by law).
  • Challenge you thoughtfully and support you unconditionally.
  • Continue my own professional development to ensure I'm providing you with the best possible support.


4. Investment & Payment

  • Invoicing: Your investment will be invoiced as agreed upon before commencement. There are never any hidden fees.
  • Additional Costs: Any potential additional costs (e.g., travel for in-person workshops) will be thoroughly discussed and require your email confirmation before being incurred.
  • Payment Terms: Payment for all services is required in advance. Our standard payment terms are 14 days from invoice date, or 48 hours prior to the first scheduled session, whichever is sooner.
  • Late Payment: If prompt payment has not been received, any agreed discounts will be removed, and full standard pricing will be required.


5. Refund & Cancellation Policy (Coaching)

  • Refunds: Due to the personalised nature of 1-to-1 coaching and the time commitment reserved, all fees are non-refundable.
  • Monthly Support: Requires a 30-day written notice to cancel. Support will cease on the next payment cycle following the notice period.
  • Rescheduling: I understand that life can be unpredictable. If you need to reschedule a session, please provide at least 48 hours' notice. Sessions cancelled with less than 48 hours' notice will be forfeited.


6. Support & Communication (Energy Management)

Support outside of our scheduled calls (via email and WhatsApp) is available during my standard office hours: Tuesday to Thursday, 10:00 a.m. to 4:00 p.m. UK time.

  • Messages received outside these hours will be addressed on the next scheduled working day.
  • I will always strive to respond within 24 business hours.


7. Intellectual Property

All coaching materials, frameworks (including H.I.T.S. and S.H.I.F.T.S.), worksheets, and recordings provided during the programme remain the intellectual property of Geoffrey Nicholson. They are provided for your personal use only and may not be reproduced, resold, or distributed without written permission.


8. Disclaimer of Results & Decision Making

You acknowledge that I am a strategic advisor, not a director of your business. While I provide frameworks, guidance, and accountability:

  • Final Authority: All decisions, actions, and implementations discussed during our sessions are yours and yours alone. You retain full responsibility for the business, financial, and personal consequences of those decisions.
  • No Guarantees: I cannot and do not guarantee specific financial results, business growth, or outcomes. Your results depend entirely on your own effort, market conditions, and execution.
  • Liability: You agree that I accept no responsibility or blame for any business losses, failed strategies, or negative outcomes resulting from decisions made during or after our coaching partnership.


PART B: PODCAST GUESTING & MEDIA PRODUCTION


By purchasing a Broadcast Package or booking a recording slot, you (the "Guest") enter into this agreement with Geoffrey Nicholson (the "Producer").


1. Grant of Rights

You grant the Producer the irrevocable, worldwide, perpetual right to record, edit, publish, and distribute your voice, likeness, and performance via the UK Business IQ platform, syndicated networks (including Success IQ), and strategic partner channels. The Producer retains full copyright ownership of the final master recordings (audio and video).


2. Guest Usage Licences

  • 2.1 Personal Promotion Licence (Standard): The Producer grants the Guest a non-exclusive, royalty-free licence to share, embed, and broadcast the final, edited episode on their personal/business channels for promotional purposes.
  • Restriction: The content must remain in its original, branded form. The Guest is not permitted to alter, cut, or remove the show branding, ads, or intros without purchasing a Commercial Licence.
  • 2.2 Commercial Licence (Optional Upgrade): If the Guest has purchased the "Commercial Licence" or "Raw Licence" add-on, the Producer grants a non-exclusive licence to access the raw, unbranded source files. The Guest is permitted to re-edit and utilise this footage for paid advertising.
  • Important: This is a usage licence only; the Producer retains full copyright ownership of original source files.


3. Editorial Control & "Kill Fee"

The Producer reserves the right, at their sole discretion, not to publish an episode if the content is deemed to be an overt sales pitch, factually incorrect, or if the audio/video quality falls below broadcast standards.

  • The Booking Fee covers studio production time and overheads, not a guaranteed broadcast.
  • In the event an episode is rejected for editorial reasons, the fee is retained as a production kill fee.
  • Content Buyout Option: In the event of non-publication, the Producer may (at their sole discretion) offer to transfer the raw source files to the Guest subject to a Studio Conversion Fee of £197. This transfer is strictly conditional upon the removal of all Show branding.


4. Cancellation, Rescheduling & No-Shows

  • Notification: All requests must be made via email to [info@geoffnicholson.co.uk] or via the booking portal.
  • Guest Rescheduling: Requests to move a recording time must be made at least 24 hours prior to the scheduled start time.
  • Penalty: Failure to attend without 24 hours' notice will result in the forfeiture of the booking fee. No refunds.
  • Event Special Non-Refundable: Any bookings made under the "Event Special" or "Show Discount" rate are strictly non-refundable in the event of cancellation or no-show. The initial payment acts as a binding commitment to the recording slot.
  • Producer Rescheduling: In the unlikely event that the Producer must reschedule due to illness or technical failure, the Guest will be offered the next available priority slot. The Producer accepts no liability for any additional charges or loss of earnings incurred by the Guest.


5. Indemnity & Liability

You confirm you hold the rights to share all information discussed. You acknowledge that the Producer is acting solely as a platform host and bears no legal responsibility for the factual accuracy, legality, or outcome of any advice shared by you. You agree to indemnify the Producer against any claims resulting from your statements.


6. Guest Responsibilities

  • 6.1 Assets: It is the Guest’s sole responsibility to provide required assets (Headshots, Bios) via the Client Portal within 48 hours of booking. Missing assets will result in generic placeholders being used.
  • 6.2 Equipment: The Producer accepts no liability for poor audio/visual fidelity resulting from the Guest's use of sub-standard equipment (e.g., internal laptop mics, phones).
  • 6.3 Verbal Waiver: At the start of recording, the Guest's verbal acknowledgement of their equipment setup and quality risks will be recorded as evidence of acceptance.

7. Production Timeline & Release Date

  • Standard: Approx. 8–12 weeks from recording. The Host reserves the right to adjust the release schedule in accordance with editorial requirements.
  • Priority (Upgrade): Guaranteed release within 3 weeks. (Limited to 6 slots/month). If a Priority upgrade has not been purchased, no specific release date can be guaranteed.
  • Delays & Force Majeure: While the Producer strives to meet these timelines, they are estimates only. The Producer accepts no liability for delays in publication or asset delivery caused by technical failure, illness, unforeseen circumstances, or editorial scheduling adjustments. No refunds will be issued for delayed release dates, provided the episode is eventually published.
  • Notification: The Host will notify the Guest approximately 7 days prior to the episode going live.


8. Incorporation of Full Terms

This booking is subject to the Producer’s full Master Terms & Conditions and Privacy Policy, which are available at [geoffnicholson.co.uk/terms-and-conditions] and [geoffnicholson.co.uk/privacy-policy]. By proceeding with this application, the Guest acknowledges that they have read and agreed to these documents, which are incorporated into this agreement by reference.


9. Governing Law

This agreement and any dispute or claim arising out of or in connection with it or its subject matter shall be governed by and construed in accordance with the law of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim.
